Subject Aim:

In the complex and integrated environments in which business operate, it is crucial that managers have a solid understanding of the legal system and laws that impact on and regulate the actions of companies. Managers must have a well-developed knowledge of the links between business functions, commercial transactions, risk and the legal obligations of corporations and their officers. Moreover, businesses must not only operate within narrow confines of the legal system but do so in an ethical and socially responsible manner as stakeholders increasingly demand higher standards of commercial morality, including making those who are directors of business responsible for the actions of the company.

The aim of this subject is to provide students with an understanding of business law and corporate governance in the Australian legal system, especially in relation to the roles and responsibilities of company directors to whom they might be accountable, and the way in which laws govern the actions of corporations. This subject examines corporate social responsibility within a business governance framework, and students will analyse and apply relevant legal concepts to business through a range of learning activities and assessment tasks. This subject also examines key areas of civil law which are critical to business management including debt recovery, employment law, consumer law, tort law and contract law.

Learning Outcomes:

a) Utilise an integrated knowledge and understanding of Australian law, including the Australian legal system, sources of law and the role the Australian legal system plays in corporate governance.

b) Apply advanced legal concepts to governance and business decision making.

c) Critically analyse and identify business law issues and succinctly communicate the legal responsibilities and risks of doing business

d) Analyse and evaluate the legal, social and ethical responsibilities of business organisations to diverse stakeholders.

Student Assessment:

Exams will take place in weeks 15 & 16. Please refer to the official Exam Timetable for further information.

Besides having to pass this unit overall (i.e. achieving a final mark of minimum 50 out of 100 marks), students must also pass the Individual assessment items (in total) in order to pass this unit. Students failing to meet this requirement will be awarded an F grade and will be required to repeat the unit.
